This book sits uncomfortably between the 'everything you need to know quickly' guides and the specialist regulatory and practice guides. It is full of excellent guidance and example, yet not fully cohesive or necessarily easy to find the key issue that you seek. At its best, this volume represents 'the professor in discussion with advanced students who are widely reading elsewhere too' - and valuable for that. I am glad to have read it. It provoked thought and some discussion with colleagues - but I found it ultimately not as useful as the blurb might indicate, nor as useful as I had hoped as a resource to have to hand for reference.

This book focuses on the USA. It has a more thorough and better coverage than Christine Mallin's 'Corporate Governance' and Jill Solomon's 'Corporate Governance and Accountability', but it is aimed mainly at practitioners. The book's main advantage is the extensive list of case studies. Its main disadvantage is the lack of thorough academic grounding.

i bought this to support my study (ACCA paper P1), it was a good help. this book does provide some insights to corporate failure.

I bought this book whilst undertaking an MBA module in corporate governance, mainly for the case studies (contained in chapter 7 of the earlier editions). Disappointingly this chapter is now on line (on Wiley's website, Wiley.com), allowing regular updates to the newer case studies, but tying the reader to a PC or a tablet in order to access them (hence 4 stars rather than 5).
Overall however, the book provides excellent coverage of the governance issues, supported by numerous real life business case studies.
