This is the fourth edition of this surprisingly popular textbook on corporate governance. The new edition follows pretty much the format and style of the previous three editions. Mallin's approach to corporate governance has hardly changed in this fourth edition. It is still embedded in regulation and practice, but is very lightweight in terms of its coverage and critical analysis of both the theoretical and empirical academic literature. Current regulation is treated as a fait accompli and there is little or no critical assessment of it. Mallin still seems to reduce corporate governance to compliance and best practice.

This text could be used as the main textbook on an executive course on corporate governance, but would need to be supplemented with further, more advanced readings. However, it is definitely not challenging and thorough enough to be used as the main text on a course aimed at regular university students.

Christine Malin's Corporate Governance book provides a good overview of the topic, covering all key aspects such as developments and theories behind governance, owners and stakeholders, directors and board structure, and international corporate governance.

The text was useful as an introduction for an MBA module, however lacked any real coverage of the USA (see Monks and Minow for a more detailed North American analysis). In parts the text was more descriptive than analytical, hence 4 stars rather than 5, but on the whole provided a good overview.

The book provides a great overview of corporate governance and is a great starting point to learn the fundamentals, but does not go into too much depth. I would highly recommend this book for use a textbook to complement other reading material, such as journal articles.

I'd recommend checking for the latest edition of this, as corporate governance is ever evolving.

Christine Mallin has done a great job bringing to life an interesting topic with vivid case stories supported by clearly explained theories.
