First published in 1991, Tolley's Company Secretary's Handbook, now in its twenty-second edition, has become indispensable for anyone finding themselves in this crucial role - particularly as recent events have drawn public attention as never before to the importance of good governance.

As expressed in the Preface, the company secretary `is responsible for ensuring that corporate governance procedures are appropriate for the company, as well as interpreting and applying the Code of Best Practice....', adding that `the secretary...must therefore be suitably qualified and well informed to fulfill this role.'

This latest edition aims to encompass the changes that have occurred as a result of the legislation that has been implemented during 2011/2012. Now that the Companies Act 2006 is fully in force, this edition focuses on the impact of the changes resulting from this pivotal piece of legislation.

As the company secretary has a formidably broad range of responsibilities, this volume certainly does cover a lot of ground, including statutory accounts, membership, directors and capital. Certainly all the responsibilities pertaining to corporate governance are dealt with, including employment, pensions, insurance and taxation and health and safety.

New materials include, citing only a few examples, the revised UK Corporate Governance Code which applies to the accounting periods beginning on or after 1st October 2012. Also revised are the sections on tax, VAT, PAYE and National Insurance, as well as the planned changes to the registration of charges regime.

If you're a company secretary you're probably already aware of the issues we quote from the following paragraph: `Should the secretary act beyond his ostensible authority, and without an express authority, the position appears to be that the company will be bound by is acts, but he may be held personally liable by the company for any resultant loss.'
