Book Description

29 Nov 2011 0230229999 978-0230229990
Recent financial crises and instances of corporate malpractice have prompted many questions about how companies are run - and whether this tallies with how they should be run. This book systematically explores the factors that shape corporate governance, and discusses both those governance practices implemented by companies and those imposed by regulators. It also tries to determine how good corporate governance can help companies to create value for their shareholders.

To illustrate that some practices are global while others are appropriate only in certain settings, case studies of individual companies from Europe, Asia, North and South America are discussed in each chapter.

Corporate Governance: Theory and Practice is firmly grounded in academic literature and packed with empirical evidence from around the world, making it an ideal book for students of business, management, finance, accounting and law taking a one-term course in the subject. It offers considerable lecturer and student support, both in the text itself and on the accompanying website: www.palgrave.com/finance/padgett

Review

'Carol Padgett has written an excellent book on corporate governance. It is comprehensive and thorough in its coverage of an important and expanding topic. The book combines an extensive review of the relevant literature with an insightful description of corporate governance policy and practice. It is well illustrated with case studies and examples, and it guides the reader carefully through the different aspects of current corporate governance debates.'
- Colin Mayer, Peter Moores Professor of Management Studies, SaId Business School, University of Oxford, UK

'This text provides an excellent and comprehensive introduction to corporate governance and leads the reader through what would otherwise be complex theoretical concepts and issues in an easy-to-read and understandable manner. Explanations are very clear and the book is punctuated with real world examples of the governance issue at hand. This should be an essential text for corporate governance students or for those wishing to gain a strong grasp in this subject without getting lost in complicated jargon.'

- Dr. Bruce Hearn, Course Director MSc Finance, University of Leicester

'Students will find Corporate Governance a comprehensive and readable introduction to a subject of increasing importance.'
- Robert A. G. Monks, shareholder activist and author of Corporate Governance

4.0 out of 5 stars A solid introduction to corporate governance 18 Jan 2012
By CorpGov
Format:Paperback
This book provides a solid introduction to corporate governance. It is much more academic than some of the competing texts and there is much less focus on regulation and compliance (which is great!). Indeed, corporate governance is not just about codes of best practice! The choice of topics covered by the book is good, but the number of topics is somewhat limited which means that this book may have to be supplemented by other texts on a longer or more advanced module. I like the case studies which are a breath of fresh air compared to what is available elsewhere. I also like the writing style which is also much more inspiring and interesting than the old-fashioned writing style adopted by some of the main competitors.

5.0 out of 5 stars Excellent material for CIMA governance exam 10 Oct 2012
Format:Paperback|Amazon Verified Purchase
I found this book an extremely useful base for my CIMA exam on corporate governance. It covers the issues facing corporate entities today both from investors, stakeholders and management point of view. It also provides an extensive reading list from which particular topics can be taken forward.
