Format: Paperback
A comprehensive collection of due diligence checklists, split into chapters covering legal, financial, commercial, pensions, HR, taxation and other critical areas to investigate when buying a business. The book also has useful chapters on hiring and briefing advisers as well as assessing existing and potential corporate strategy.

For me, this replaces a huge ring binder of past precedent documents with one concise and easily navigated collection. Not only are the checklists exhaustive, but each are cross-referenced to relevant sections covering the critical DD areas, allowing a bidder to compile and submit one long information request list, then consider each area of investigation in turn - with the aid of sensible guidance along the way.

PDF copies of each checklist are provided on the accompanying CD. This format is a bit of a pain in terms of incorporating the questions into one's own tailor-made information request package, but PDF conversion programs being what they are, it's not too difficult to cut and paste the odd useful question.

An excellent resource for the prospective business buyer.

The following review is heavily biased as I work in IT Security Consultancy; and as such, whenever I need to perform my part of due-diligence it's purely the risks associated with sub-systems, or with IT systems/controls.

That said, the book is quite a good collection - probably not worth the £40 or so (lots of freely available checklists online) if you are facing the issue from a CISO/CIO perspective. I can only presume that if you're doing due-diligence from start to end, the rest of the book will make a lot more sense and thus justify the cost.

I extracted a set of checklists and added/modified them to reach something that I was happy with using - so it's a good start if someone has never done a due-diligence assessment before and needs to launch platform.
